Terms of Service

1. Acceptance of Terms

By creating an account or using Venddr, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

2. Eligibility

You must be at least 16 years old to use Venddr. By registering, you represent that you meet this age requirement. Users under 18 must have parental consent.

3. Prohibited Listings & Content

You may not post listings or content that:

• Violates any applicable federal, state, or local law.
• Involves illegal firearms, drugs, or controlled substances.
• Facilitates human trafficking, forced labor, or sexual exploitation.
• Contains counterfeit goods, stolen property, or fraudulent offers.
• Involves the sale of protected wildlife or CITES-restricted species.
• Contains discriminatory language in housing ads (Fair Housing Act).
• Contains discriminatory language in job listings (EEOC / Title VII).
• Infringes on any intellectual property or trademark rights.
• Contains pornographic, obscene, or sexually explicit material.
• Targets or involves minors in any inappropriate manner.

4. Auction Rules

• Bids are binding commitments. Winning bidders must complete payment.
• Bid retractions are only permitted more than 12 hours before auction close.
• Shill bidding (bidding on your own listing) is strictly prohibited.
• Two unpaid item strikes will result in bidding restrictions.
• Accounts less than 7 days old may not bid on items over $500.

5. Venddr Pay

Venddr Pay is a payment facilitation service. We are not a bank or licensed money transmitter. Payments are processed by licensed third-party payment processors. We do not store raw card numbers.

6. Promoted & Sponsored Listings

Paid promotion (Featured, Sponsored, Urgent) increases listing visibility. Sponsored listings are clearly labeled as "Sponsored" in compliance with FTC guidelines. Promotion fees are non-refundable once a campaign has begun.

7. Intellectual Property

You retain ownership of content you post. By posting, you grant Venddr a non-exclusive, royalty-free license to display your content on the platform. Do not post content that infringes others' intellectual property rights.

8. DMCA Takedowns

If you believe your copyrighted work has been infringed on Venddr, please submit a takedown notice per our DMCA Policy.

9. Disclaimers & Limitation of Liability

Venddr is a marketplace platform and is not a party to transactions between buyers and sellers. We make no warranties about the accuracy of listings. To the maximum extent permitted by law, Venddr's liability is limited to the fees you paid us in the 12 months preceding a claim.

10. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or post prohibited content, with or without notice.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Disputes shall be resolved by binding arbitration in accordance with the AAA Consumer Arbitration Rules.

12. Indemnification

You agree to indemnify, defend, and hold harmless Venddr, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) content you post or transmit through the platform; (c) your conduct in connection with the service; or (d) your violation of these Terms or any applicable law. This indemnification obligation will survive the termination of your account and these Terms.

13. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
